10. Use of WhatsApp Official API and RCS

Customers using WhatsApp Business API and RCS services acknowledge and agree that:

  • WhatsApp services are governed by Meta policies.
  • RCS services are governed by telecom and messaging regulations.
  • Template approvals remain subject to Meta review.
  • Message delivery cannot be guaranteed.
  • Platform rules may change without notice.

Users must obtain lawful consent before sending messages.

Customers shall not use our services for:

  • Spam communications
  • Illegal marketing
  • Adult content
  • Gambling activities
  • Financial fraud
  • Phishing attempts
  • Misleading promotions
  • Prohibited products or services

Violation of Meta, telecom operator, or regulatory requirements may result in immediate suspension.


11. Message Delivery and Compliance Policy

IT SOLUTIONS TECHNOLOGY acts as a technology service provider and messaging facilitator.

Message delivery depends on:

  • Recipient device availability
  • Internet connectivity
  • Telecom operator performance
  • Meta platform availability
  • Third-party infrastructure

Accordingly:

  • Delivery is not guaranteed.
  • Read receipts are not guaranteed.
  • Response rates are not guaranteed.
  • Platform uptime may vary.

Customers are solely responsible for ensuring lawful communication practices and obtaining recipient consent where required.


12. Intellectual Property Rights

All intellectual property associated with IT SOLUTIONS TECHNOLOGY remains our exclusive property.

This includes:

  • Software
  • Source code
  • APIs
  • Documentation
  • Designs
  • Logos
  • Branding
  • Trademarks
  • Databases
  • Website content

Nothing in these Terms grants ownership rights to customers.

Users receive a limited, non-exclusive, revocable license solely for authorized use of our services.

You may not:

  • Copy software
  • Reverse engineer systems
  • Reproduce content
  • Modify proprietary technology
  • Create derivative works without permission

All rights remain reserved.


13. Confidentiality

Both parties may receive confidential information during the course of business.

14. Disclaimer of Warranties

To the maximum extent permitted by law, IT SOLUTIONS TECHNOLOGY disclaims all warranties including:

  • Reliability

We do not warrant that:

  • Services will meet every customer requirement.
  • Third-party platforms will remain available.

Customers assume all risks associated with service usage.


15. Limitation of Liability

To the maximum extent permitted under Indian law, IT SOLUTIONS TECHNOLOGY shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Special damages
  • Loss of profits
  • Loss of revenue
  • Loss of goodwill
  • Loss of business opportunities

  • Communication failures

Our total aggregate liability shall not exceed the amount actually paid by the customer to IT SOLUTIONS TECHNOLOGY during the three (3) months immediately preceding the event giving rise to the claim.

This limitation applies regardless of legal theory.


16. Indemnification

You agree to indemnify, defend, and hold harmless IT SOLUTIONS TECHNOLOGY, its owners, employees, contractors, affiliates, and partners from any claims, damages, liabilities, costs, penalties, or expenses arising from:

  • Violation of these Terms.
  • Violation of law.
  • Unauthorized use of services.
  • User-generated content.
  • Messaging compliance violations.
  • Intellectual property infringement claims.
  • Regulatory investigations caused by customer actions.

This obligation survives termination.


17. Regulatory Compliance

Customers must comply with:

  • Information Technology Act, 2000
  • Digital Personal Data Protection Act, 2023
  • Consumer Protection Act, 2019
  • Telecom Regulatory Authority of India (TRAI) regulations
  • Applicable anti-spam regulations
  • Meta Business Messaging Policies
  • WhatsApp Business Terms
  • RCS messaging standards

Failure to comply may result in suspension or termination.


18. Force Majeure

IT SOLUTIONS TECHNOLOGY shall not be liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Floods
  • Fires
  • Pandemics
  • Government restrictions
  • Internet outages
  • Cyberattacks
  • Power failures
  • Telecom disruptions
  • Platform provider outages

Performance obligations shall be suspended for the duration of such events.


19. Suspension of Services

We may suspend services immediately if:

  • Security threats are detected.
  • Legal violations occur.
  • Regulatory requirements require suspension.
  • Platform providers suspend connectivity.
  • Fraudulent activities are identified.

Suspension may occur without prior notice where necessary to protect systems, users, or legal interests.


20. Changes to Terms

IT SOLUTIONS TECHNOLOGY reserves the right to amend these Terms at any time.

Updated versions may be:

  • Published on our website.
  • Communicated electronically.
  • Shared through customer notifications.

Continued use of services after updates constitutes acceptance of revised Terms.


21. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising from these Terms shall first be attempted to be resolved amicably.

If resolution cannot be achieved, disputes shall be subject to the exclusive jurisdiction of the competent courts located in Latur, Maharashtra, India.

Nothing herein limits our right to seek injunctive or equitable relief where necessary.
